Robopurchaser Offer Agreement

This Offer Agreement ("Agreement") is entered into by and between Robopurchaser, a service that allows users to find suppliers and their emails, send messages, and compare responses from suppliers (the "Service"), and the user ("You" or "User") who is accessing or using the Service.
By accepting this Agreement, You agree to the following terms and conditions.
1. Service Overview
Robopurchaser provides a platform for users to search for suppliers based on their queries, find suppliers' email addresses, send emails to suppliers, and compare the responses received. The Service is designed to assist users in their procurement and supplier communication processes.
2. Service Fees
The following fees apply to the use of the Service:
Price per found email: 0.025 USD
Price per sent message: 0.05 USD
Price per comparison of one supplier's response with another's: 0.25 USD
The Service will charge these fees according to usage. Payment for services rendered will be processed according to the payment methods available on the platform.
3. Payment Terms
By using the Service, You agree to pay the fees associated with the Service usage as outlined in Section 2. All payments must be made in advance or according to the payment terms provided at the time of service use. Fees are non-refundable, and You are responsible for any applicable taxes or charges associated with the use of the Service.
Robopurchaser reserves the right to update the pricing structure at any time. Any changes to the pricing will be communicated to you in advance, and continued use of the Service after such changes constitutes acceptance of the new pricing terms.
4. Use of the Service
You agree to use the Service solely for lawful and ethical purposes. You must not use the Service for activities that violate any applicable laws, infringe upon the rights of others, or cause harm to Robopurchaser, other users, or third-party suppliers.
5. Data Privacy and Protection
Robopurchaser respects Your privacy and takes reasonable measures to protect any personal or business data you provide while using the Service. By using the Service, You consent to the collection and use of Your information as described in Robopurchaser's Privacy Policy.
You are responsible for ensuring that any emails sent through the Service comply with all applicable laws, including those concerning data protection, spam regulations, and privacy laws.
6. Intellectual Property
All content provided by Robopurchaser, including software, materials, logos, trademarks, and other intellectual property, remains the property of Robopurchaser or its licensors. By using the Service, You acknowledge that you do not acquire any ownership rights in the platform or its content.
7. Limitation of Liability
To the maximum extent permitted by law, Robopurchaser will not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from Your use or inability to use the Service. This includes, but is not limited to, any loss of data, loss of profits, or errors made during communication with suppliers.
8. Termination
Robopurchaser reserves the right to terminate or suspend Your access to the Service at any time, with or without cause, if we believe You have violated any of the terms of this Agreement.
9. Modifications to the Agreement
Robopurchaser may update or modify this Offer Agreement at any time. Any changes will be communicated to You, and continued use of the Service constitutes acceptance of the revised Agreement.
10. "As Is" Acceptance of the Software
By using the Service, You acknowledge and agree that the software is provided "as is" and without warranties of any kind, either express or implied. Robopurchaser does not guarantee that the Service will be free from errors or interruptions, nor does it guarantee the accuracy or completeness of the data provided. You accept the Service with all its potential flaws and limitations, and You assume full responsibility for its use.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of [Insert Jurisdiction]. Any legal disputes arising from this Agreement shall be resolved in the competent courts of [Insert Jurisdiction].
12. Acceptance of Offer
By using the Service and completing any transactions, You confirm that You accept this Agreement, including the pricing terms and conditions, and that You are authorized to enter into this Agreement.
